Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, APIs, and products provided by ZorbasAI, Inc. ("ZorbasAI", "we", "us"). Please read them carefully. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance of terms

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the services. Enterprise customers may instead be governed by a separate written agreement, which prevails over these Terms where it conflicts.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use our services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Acceptable use

You agree not to use the services to:

• Violate any law or the rights of others;
• Generate or distribute unlawful, harmful, or deceptive content;
• Attempt to reverse engineer, disrupt, or gain unauthorized access to our systems;
• Resell or provide the services to third parties except as permitted in writing.

4. Customer content

You retain all rights to the content you submit to the services ("Customer Content"). You grant us a limited license to process Customer Content solely to provide and support the services. We do not use Customer Content to train our foundation models. You are responsible for ensuring you have the rights necessary to submit your Customer Content.

5. Intellectual property

The services, including all software, models, and documentation, are owned by ZorbasAI and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred. "ZorbasAI" and our logos are our trademarks and may not be used without permission.

6. Fees & payment

Paid services are billed according to the plan or order you select. Fees are non-refundable except as required by law or expressly stated. We may change our pricing on prospective notice. You are responsible for applicable taxes.

7. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate or incomplete; you are responsible for reviewing outputs before relying on them.

8. Limitation of liability

To the maximum extent permitted by law, ZorbasAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the services will not exceed the amounts you paid to us in the twelve months preceding the claim.

9. Term & termination

These Terms apply while you use the services. We may suspend or terminate your access if you breach these Terms or to protect the services. You may stop using the services at any time. Provisions that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-law rules. The courts located in Vancouver, British Columbia will have exclusive jurisdiction over any disputes.
